Hi —
Just sent the marked-up MSA over to our legal team. They've come back with two points worth discussing before we move to signature:
- Indemnity cap — they'd like to align it with annual contract value rather than the current flat $250k figure.
- Termination clause — a 60-day notice window instead of 30, mostly so we can sequence around our roadmap commitments.
Both feel pretty straightforward, but I'd love a quick 20-minute call tomorrow to walk through them together — happy to grab any time you have between 10 and 4 PT.
One other thing — our procurement window closes May 15, so the sooner we land these the cleaner the close.
